Preferred equity
Equity with a priority return, ahead of the common equity in the stack.
Preferred equity sits behind the senior loan and ahead of the sponsor’s common equity. It is used where the senior lender does not permit mezzanine debt, or where a sponsor wants to reduce its own equity requirement on a construction project, an acquisition or a recapitalization.
Joint venture and LP equity
Deal-level equity from an institutional or family office partner.
Joint venture equity pairs a sponsor with a capital partner on a single project or a portfolio. The partner typically provides most of the equity, the sponsor co-invests and manages the business plan, and the joint venture agreement sets out control, decisions and how cash flow is shared.
Fund capital
Capital raising for real estate private funds and programmatic vehicles.
Sponsors raising a discretionary fund or a programmatic vehicle work with Wraith Advisory on positioning, offering materials and the investor process, with fund counsel.
Alongside the debt
The size and terms of the equity depend on the debt, and the reverse. When a project needs both, Wraith Real Estate arranges the loans and Wraith Advisory advises on the equity, and the two are worked on in step.
Offerings are made only through Finalis Securities LLC, only to eligible investors, and only by means of offering documents. Terms depend on the sponsor, the project and market conditions, and a placement may not be completed.
